Terms of Service

Please read these Terms carefully. They include binding individual arbitration, a class action waiver and a jury waiver in the Dispute resolution and arbitration section. You can opt out of arbitration within 30 days, as explained there.

Agreement to these Terms

These Terms of Service are an agreement between you and Shiilia Marie LLC. When you use our website, send us a form, take one of our quizzes, join one of our programs or buy anything from us, you agree to these Terms. If you do not agree, please do not use our website or services.

These Terms include binding individual arbitration of disputes, a waiver of class actions and a waiver of jury trials. You may opt out of arbitration within 30 days of first agreeing to these Terms by following the steps in the Dispute resolution and arbitration section.

Who can use our services

You must be at least 18 years old and able to make a binding contract to use our services or buy from us. If you buy on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

Our services and your order

We offer coaching programs, live group sessions, workshops, private coaching, digital materials and related services that help people understand and change the patterns that keep them stuck. Our services are coaching and education. They are not therapy, medical care, counseling or crisis care.

Each purchase is made through a checkout page, order form or signed agreement (the Order). The Order describes what you are buying and its price. If the Order says something different from these Terms, the Order controls for that purchase.

Your account

Some services may need an account or a login. You agree to give us accurate information, to keep your login details safe and private, and to tell us right away if you think someone else has used your account. You are responsible for activity on your account.

AI features

We use artificial intelligence tools to help run our business. Chats on our website, text messages, direct messages and email replies may be handled by an AI assistant working for Shiilia Marie LLC. Some of our content may be written or produced with AI help. AI output can be wrong or incomplete, and it is not professional, medical, legal or mental health advice. Please review anything an AI assistant tells you before you rely on it, and ask us if you would like to speak with a person.

Text messages and calls

When you give us your phone number and check the box to agree, you consent to receive text messages and calls from Shiilia Marie LLC at that number, including marketing messages, automated texts and calls that use an AI-generated voice, as described in the consent you gave. Consent is not a condition of purchase. Message frequency varies. Msg & data rates may apply. Reply STOP to any text to opt out, and reply HELP for help. Mobile carriers are not liable for delayed or undelivered messages.

Calls may be recorded and transcribed. When the law requires it, we will tell you at the start of the call and ask for your agreement. If your phone number changes hands, please tell us so we stop contacting the old number.

Prices and payment

Prices are shown on the Order and may change for future purchases. You are responsible for any taxes that apply. Payments are handled by our payment processing partners, and the charge on your statement may show the name of Shiilia Marie LLC or an affiliate. By giving us a payment method, you authorize us and our payment partners to charge it for your purchase.

If we ever offer a subscription or membership, it will renew automatically at the end of each billing period until you cancel, and the Order will tell you the renewal price, how often you are charged and how to cancel. Any usage credits we issue have no cash value.

Payment plans

If we offer a payment plan, it is a way to pay the full price over time. It is not a month-to-month commitment, and the full total is owed when you choose it. If a payment fails, we may try the payment again, pause your access until the payment goes through, and ask you to pay the remaining balance all at once. Where the law allows, you are also responsible for reasonable costs of collecting what is owed.

Third-party financing

You may be able to pay through a financing provider such as Klarna at checkout. Financing is an agreement between you and the lender, on the lender's terms. We receive payment from the lender, and any approved refund goes through the lender's process.

Refunds, cancellations and chargebacks

Refunds and cancellations follow our Refund and Cancellation Policy and the terms on your Order. If you have a problem with a charge, please contact us first so we can help. Disputing a charge you authorized without first contacting us is a breach of these Terms, and we may contest the dispute with records of your purchase, your consent and your use of our services.

Intellectual property

Our website, programs, workbooks, recordings, frameworks, templates, quizzes and other materials belong to Shiilia Marie LLC or its licensors and are protected by copyright and other laws. When you buy from us, you receive a limited, personal, non-transferable license to use the materials for your own growth. You may not share your login, resell, record, copy, distribute or teach our materials, or use them to train AI tools, without our written permission.

You keep ownership of anything you share with us, such as your answers, messages and stories. You allow us to process that content to provide our services. If you send us feedback or suggestions, we may use them without owing you anything.

Acceptable use

You agree not to use our website or services to break the law, to send unlawful messages or make unlawful calls, or to harass anyone. You agree not to try to trick, attack or misuse our AI assistant, including trying to pull out its instructions or other people's information. You agree not to flood our forms, phone lines or chats, upload malware, scrape our site, reverse engineer our tools, or make false claims about income, health or results connected to our services.

Third-party services

We rely on third-party services such as payment processors, financing providers, mobile carriers, email platforms, video platforms and AI providers. Those services have their own terms and privacy policies, and we are not responsible for them.

Disclaimer of warranties

OUR WEBSITE, SERVICES, MATERIALS AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE ANY PARTICULAR RESULT, INCLUDING ANY EMOTIONAL, HEALTH, RELATIONSHIP OR FINANCIAL RESULT. YOUR RESULTS DEPEND ON YOU AND ON MANY THINGS OUTSIDE OUR CONTROL.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, Shiilia Marie LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA OR LOST OPPORTUNITIES, ARISING FROM OR RELATED TO OUR WEBSITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT BE MORE THAN THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$100. SOME STATES DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT ALL APPLY TO YOU.

Indemnification

You agree to defend and cover Shiilia Marie LLC against claims, losses and costs, including reasonable legal fees, that come from your misuse of our website or services, content you share, messages or calls sent through your account, or your breaking these Terms or the law, including laws about texts, calls, email, privacy and recording.

Suspension and termination

We may suspend or end your access if you break these Terms, do not pay what you owe, or put our business, our community or other people at risk. You may stop using our services at any time. Stopping does not cancel payments you already owe. The sections on payment, intellectual property, disclaimers, limits of liability, indemnification, governing law and dispute resolution continue after your access ends.

Changes to these Terms

We may update these Terms. When we do, we will post the new version with a new date at the top, and we will give you notice of important changes. Changes to the arbitration section do not apply to any dispute we already knew about before the change.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules, and by the Federal Arbitration Act for the arbitration section.

Dispute resolution and arbitration

If you have a concern, please contact us first at info@shiiliamarie.com. We will try to resolve it informally within 30 days.

If we cannot resolve it, you and Shiilia Marie LLC agree to resolve any dispute through final and binding individual arbitration administered by the American Arbitration Association. The Consumer Arbitration Rules apply to individuals, and the Commercial Arbitration Rules apply to businesses. One arbitrator will decide the dispute. The arbitration will take place in California or remotely. Either of us may still bring a claim in small claims court, and either of us may go to court to protect intellectual property.

YOU AND Shiilia Marie LLC AGREE TO BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS ACTION, COLLECTIVE ACTION OR REPRESENTATIVE PROCEEDING, AND YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. If many similar claims are filed at the same time, they may be handled in batches under the arbitration rules.

You can opt out of this arbitration agreement within 30 days of first agreeing to these Terms by emailing info@shiiliamarie.com with the subject line "Arbitration Opt-Out" and your name and the email you used with us. If the class action waiver is found unenforceable for a claim, only that claim will go to court, and the rest will stay in arbitration. Where the law allows, any claim must be brought within one year after it arises.

General terms

These Terms, together with your Order and the policies they mention, are the entire agreement between you and us about our services. If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a part of these Terms, that is not a waiver. You may not transfer these Terms without our permission, and we may transfer them as part of a business change. We are not responsible for delays caused by events outside our control, including outages at carriers, payment processors or AI providers. You agree that we can give you notices electronically. You and we are independent parties.
